1. Agreement
These Terms of Service ("Terms") govern your access to and use of the website robocircuit.pro (the "Site") and form the baseline framework for professional services offered by RoboCircuit Inc. ("RoboCircuit," "we," "us," or "our"), a corporation registered in Quebec, Canada (BN 712548936 RC0001).
By accessing the Site or submitting an enquiry, you agree to these Terms. Specific robotics engineering engagements are additionally governed by signed statements of work, master services agreements or proposals that prevail over these Terms where they conflict.
2. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, for disputes arising from these Terms or use of the Site, subject to any mandatory consumer protections in your province of residence.
3. Nature of services
RoboCircuit is a robotics-AI engineering studio providing consulting, discovery, prototyping, embedded-systems integration, real-time control tuning, ROS 2 systems work, bench testing and deployment supervision for client organizations in Canada and North America.
Brand clarification: "Robo" refers to applied robotics — industrial automation, cobots, AMRs and manipulation systems — not science-fiction humanoid fantasy or sentient-machine narratives. "Circuit" refers to closed control loops, embedded electronics and real-time circuits between sensors, compute and actuators — not a racing circuit, not electrical hobby kits as a primary product, and not synthcircuit.life or any unrelated "circuit" brand. The .pro domain extension is branding only.
RoboCircuit is NOT a robot retail store or reseller, NOT a military or weapons robotics firm, NOT a surveillance or covert-tracking service, NOT a course or training academy, NOT a get-rich automation scheme, NOT a standalone SaaS product, and NOT a provider of legal or safety-certification services.
4. Website use
You may use the Site for lawful purposes only. You agree not to:
- Attempt unauthorized access to our systems or networks
- Transmit malware, spam or automated scraping that impairs Site performance
- Misrepresent your identity or affiliation in form submissions
- Reproduce Site content for commercial redistribution without written permission
- Use the Site to solicit unlawful robotics applications, including weapons or covert surveillance
We may suspend access for conduct that violates these Terms or applicable law.
5. Enquiries and no automatic contract
Submitting a contact form, booking a control review request or emailing us does not create a binding contract. A engagement begins only when both parties execute a written agreement specifying scope, fees, timeline and deliverables. Indicative budget ranges on the Site are non-binding estimates.
6. Professional services terms (summary)
Where a signed agreement exists, the following principles typically apply and are summarized here for transparency:
- Scope: Deliverables are defined in the statement of work. Out-of-scope requests require change orders.
- Fees: Quoted in Canadian dollars (CAD) unless otherwise stated. Payment terms are net fifteen (15) or thirty (30) days from invoice unless negotiated.
- Client responsibilities: Timely access to sites, hardware, technical contacts and decision-makers; accurate disclosure of safety requirements and environmental conditions.
- Intellectual property: Custom deliverables transfer to the client on final payment unless otherwise agreed. Pre-existing RoboCircuit tools and general methodologies remain our property.
- Confidentiality: Mutual confidentiality for proprietary technical and business information.
7. Safety-critical systems disclaimer
Robotic systems are inherently safety-critical. Any deployment requires proper risk assessment, compliance with applicable safety standards (including ISO 10218 and CSA requirements as relevant), physical guarding, testing and ongoing human oversight. AI and robotic systems can fail, mis-perceive their environment or behave unexpectedly — especially in edge cases and when transitioning from simulation to real-world operation.
RoboCircuit does not guarantee full autonomy, zero downtime, specific throughput, cost savings, or complete safety. Outcomes depend on your environment, hardware, parts availability, operator practices and integration maturity. Our engineers supervise significant deployment milestones; we do not replace your organization's safety engineering authority or legal compliance obligations.
We work only on lawful, non-weapon, non-covert-surveillance applications. We reserve the right to decline or terminate engagements that violate this policy.
8. Human oversight
Services are designed and delivered with human-in-the-loop supervision as a core requirement. Teleoperation fallbacks, operator alerts and supervised pilot protocols are standard elements of integration work. Client operators remain responsible for safe operation on site.
9. Case studies and marketing content
Work examples, metrics and budget references on the Site are illustrative of past engagement shapes. They are not promises or warranties of future performance for your project. Anonymised case studies do not represent endorsements by unnamed parties.
10. Third-party hardware and software
Integrations may involve third-party robots, sensors, compute platforms and open-source software (including ROS / ROS 2). RoboCircuit is not responsible for third-party product defects, end-of-life notices, licence changes or vendor support quality. Client procurement of hardware is typically separate from engineering fees.
11. Limitation of liability
To the maximum extent permitted by applicable law, RoboCircuit shall not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, production downtime or data loss, arising from use of the Site or services — even if advised of the possibility.
Our aggregate liability for any claim arising from a specific engagement shall not exceed the fees paid by the client for that engagement in the twelve (12) months preceding the claim, except where limitation is prohibited by law (including certain consumer or personal injury claims).
Nothing in these Terms excludes liability for gross negligence or wilful misconduct where such exclusion is unlawful.
12. Indemnification
You agree to indemnify and hold harmless RoboCircuit, its directors, officers and employees from claims arising from your misuse of the Site, your unlawful robotics application requirements, your breach of these Terms or your violation of third-party rights — except to the extent caused by our gross negligence or wilful misconduct.
13. Privacy
Personal information is handled in accordance with our Privacy Policy, which complies with PIPEDA and Quebec Law 25. By submitting forms, you provide the consents described therein.
14. Intellectual property on the Site
Site content — text, design, logos, layout and original graphics — is owned by RoboCircuit or licensed to us. Photography is used under licence for editorial purposes. You may not copy, modify or distribute Site content without written permission, except for personal, non-commercial reference or as permitted by fair dealing under the Copyright Act (Canada).
15. Disclaimers on advice
Technical content on the Site is general information about robotics engineering practice. It is not legal advice, safety-certification advice, financial advice or a substitute for site-specific professional assessment. Always engage qualified safety professionals for compliance decisions on your floor.
16. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemic restrictions, supply-chain disruptions, utility failures or labour actions — provided the affected party notifies the other promptly and mitigates where possible.
17. Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. Failure to enforce a provision does not waive our right to enforce it later.
18. Changes
We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be noted on this page. Continued Site use after changes constitutes acceptance. Active client contracts are governed by their signed terms unless parties agree otherwise.
